Mapme Terms of Use

1.1. Your use of MapMe's services and web site is subject to the terms of a legal agreement between you and MapMe. This document explains how the agreement is made up, and sets out some of the terms of that agreement.

1.2. Unless otherwise agreed in writing with MapMe, your agreement with MapMe will always include, at a minimum, the terms and conditions set out in this document. These are referred to below as the "Universal Terms".

1.3. The Universal Terms form a legally binding agreement between you and MapMe in relation to your use of the Services. It is important that you take the time to read them carefully. Collectively, this legal agreement is referred to below as the "Terms".

2.1. In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms.

2.2. You can accept the Terms by:

2.2.1. Putting a mark on the checkbox to accept or agree to the Terms, where this option is made available to you by MapMe in the user interface for any Service; or

2.2.2. by actually using the Services. In this case, you understand and agree that MapMe will treat your use of the Services as acceptance of the Terms from that point onwards.

2.3. You may not use the Services and may not accept the Terms if.

2.3.1. You are not of legal age to form a binding contract with MapMe, or

2.3.2. You are a person barred from receiving the Services under the laws of the United States or other countries including the country in which you are resident or from which you use the Services.

2.4. Before you continue, you should print off or save a local copy of the Universal Terms for your records.

You agree to defend, indemnify and hold harmless MapMe, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

3.1. Your use of and access to the MapMe Website;

3.2. Your violation of any term of these Terms of Service;

3.3. Your violation of any third party right, including without limitation any copyright, property, or privacy right; or

3.4. Any claim that one of your User Submissions caused damage to a third party.

This defense and indemnification obligation will survive these Terms of Service and your use of the MapMe Website.

The Software updates are designed to improve, enhance and further develop the Services and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates as part of your use of the Services.

5.1. Provide accurate, current and complete information about you as may be prompted by any registration forms on the Site ("Registration Data");

5.2. maintain the security of your password and identification;

5.3. maintain and promptly update the Registration Data, and any other information you provide to MapMe, to keep it accurate, current and complete; and

5.4. are fully responsible for all use of your account and for any actions that take place using your account.

6.1. In order to access some features of the Website, you will have to create a MapMe account. You may never use another's account without permission. You are solely responsible to keep your account password secure. You must notify MapMe immediately of any breach of security or unauthorized use of your account.

6.2. Although MapMe will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of MapMe or others due to such unauthorized use.

6.3. You also understand and agree that we may include certain communications from MapMe such as service announcements, new functionality and administrative messages and that these communications are considered part of MapMe membership by email, regular mail or postings on the Service. You agree that such notices by email or regular mail, and such display of notices or links to notices to you generally on the Service, will constitute sufficient and adequate notice to you of the matters contained therein.

6.4. MapMe has the right, in its sole discretion, to modify, suspend or terminate access to MapMe at any time for any or no reason without notice. In certain situations, we may also require you to change your login username and/or password. You must treat such login information as confidential, and you must not disclose it to any third party.

6.5. We process information about you in accordance with our Privacy Policy. By using our site, you consent to such processing and you warrant that all data provided by you is accurate.

You understand that except for advertising programs offered by MapMe on the Site, the Service and the Site are available for your personal, non-commercial use only. You represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through the Service will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material.

In addition, you agree not to use the Service or the Site to:

7.1. harvest or collect email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;

7.2. use the Service or the Site in any unlawful manner or in any other manner that could damage, disable, and overburden or impair the Site;

7.3. use automated scripts to collect information from or otherwise interact with the Service or the Site;

7.4. upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;

7.5. upload, post, transmit, share, store or otherwise make available any videos other than those of a personal nature that:

7.5.1. are of you,

7.5.2. are taken by you, or

7.5.3. are original art or animation created by you;

7.6. register for more than one User account, register for a User account on behalf of an individual other than yourself, or register for a User account on behalf of any group or entity;

7.7. impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;

7.8. upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

7.9. upload, post, transmit, share, store or otherwise make publicly available on the Site any private information of any third party, including, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;

7.10. solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes;

7.11. upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

7.12. intimidate or harass another;

7.13. upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;

7.14. use or attempt to use another's account, service or system without authorization from the MapMe, or create a false identity on the Service or the Site.

7.15. upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of MapMe, is objectionable or which restricts or inhibits any other person from using or enjoying the Site, or which may expose MapMe or its users to any harm or liability of any type.

Without limiting any of the foregoing, you also agree to abide by our MapMe Code of Conduct that provides further information regarding the authorized conduct of users on MapMe.

Our content policies play an important role in maintaining a MapMe experience for you, the users. Please respect these guidelines.

8.1. PORNOGRAPHY AND OBSCENITY:

8.1.1. Pornography and Obscenity: Image and video content that contains nudity, sexually graphic material, or material that is otherwise deemed explicit by MapMe should be made private. Otherwise, we may put such content behind an interstitial.

8.1.2. Pedophilia, Incest and Bestiality: Users may not publish written, image or video content that promotes pedophilia, incest and bestiality.

8.1.3. Commercial Pornography: We do not allow content that exists for the primary purpose of monetizing porn content or driving traffic to a monetized pornography site.

8.1.4. Child Pornography: MapMe has a zero-tolerance policy against child pornography, and we will terminate and report to the appropriate authorities any user who publishes or distributes child pornography.

8.2. HATEFUL CONTENT: Users may not publish material that promotes hate toward groups based on race or ethnic origin, religion, disability, gender, age, veteran status, and sexual orientation/gender identity.

8.3. VIOLENT CONTENT: Users may not publish direct threats of violence against any person or group of people.

8.4. COPYRIGHT: It is our policy to respond to clear notices of alleged copyright infringement. More information about our copyright procedures can be found here.

8.5. IMPERSONATION: We do not allow impersonation of others through our services in a manner that is intended to or does mislead or confuse others.

8.6. UNLAWFUL USE OF SERVICES: Our products and services should not be used for unlawful purposes or for promotion of dangerous and illegal activities. Your account may be terminated and you may be reported to the appropriate authorities.

8.8. SPAM, MALICIOUS CODES AND VIRUSES: We do not allow spamming or transmitting malware and viruses.

You create Adult and R or X-rated contents assigned to the appropriate category. An R or X-rated content may be re-rated by MapMe without asking you first, and may even get locked from view or removed from search results.

Whenever you make use of a feature that allows you to upload material to our site, or to make contact with other users of our site, you must comply with the content standards established in our Terms and Conditions. You warrant that any such contribution does comply with those standards, and you indemnify us for any breach of that warranty.

Any material you upload to our site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right and you hereby consent to allow MapMe to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy. Agreement to these Terms and use of the Site signifies your agreement to the Privacy Policy.

We will not be responsible or liable to any third party, for the content or accuracy of any materials posted by you or any other user of our site.

We have the right to remove any material or posting you make on our site if, in our opinion, such material does not comply with the content standards established in our Terms and Conditions.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site or the Service ("Submissions"), provided by you to MapMe are non-confidential and shall become the sole property of MapMe. MapMe shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

MapMe takes no responsibility for third-party content (including, without limitation, any viruses or other disabling features), nor does MapMe have any obligation to monitor such third-party content. MapMe reserves the right at all times to remove or refuse to distribute any content on the Service, such as content which violates the terms of this Agreement. MapMe also reserves the right to access, read, preserve, and disclose any information as it reasonably believes is necessary to.

11.1. satisfy any applicable law, regulation, legal process or governmental request,

11.2. enforce this Agreement, including investigation of potential violations hereof,

11.3. detect, prevent, or otherwise address fraud, security or technical issues,

11.4. respond to user support requests, or

11.5. protect the rights, property or safety of MapMe, its users and the public. MapMe will not be responsible or liable for the exercise or non-exercise of its rights under this Agreement.

12.1. The Services may include hyperlinks to other web sites or content or resources. MapMe may have no control over any web sites or resources which are provided by companies or persons other than MapMe.

12.2. You acknowledge and agree that MapMe is not responsible for the availability of any such external sites or resources, and does not endorse any advertising, products or other materials on or available from such web sites or resources.

12.3. You acknowledge and agree that MapMe is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.

MapMe offers a feature whereby users of the Site can share with others or post to their own videos, images and other Third Party Applications, Software or Content from, and/or links to, Third Party Sites through the Service (the "Share Service"). You acknowledge and agree that your use of the Share Services and all links, User Content or Third Party Applications, Software or Content shared through the Share Service is subject to, and will fully comply with the user conduct rules set forth above and the other Terms and Conditions set forth in these Terms of Use.

Unless expressly authorized in writing by MapMe, you agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes:

14.1. any portion of the Service,

14.2. use of the Service, or

14.3. access to the Service.

In order to ensure that MapMe is a safe and online space for our members, we actively monitor new and existing MapMe pages for material that does not meet these Terms, our Privacy Policy or Acceptable Use Policy. While MapMe is not responsible for members' content, MapMe reserves the right to delete or edit submissions that MapMe, in its sole discretion, deems to violate these Terms, Privacy Policy or our Acceptable Use Policy. If you put any material on your MapMe site that is prohibited by these Terms or policies, we reserve the right to provide your IP address and other identifying information to any law enforcement agencies or other organizations and agencies that we consider necessary for the purpose of enforcing these Terms or policies, or where we are under a legal obligation to do so.

MapMe and other MapMe graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks or trade dress of MapMe in the U.S. and/or other countries. MapMe's trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of the MapMe.

Support Services include access to email support. "Email support" means the ability to make requests for technical support assistance by email at any time (with reasonable efforts to respond within one business day) concerning the use of the Services. All Services support will be provided in accordance with MapMe Services practices, procedures and policies.

You acknowledge and agree that the content on the MapMe and its design, structure, and compilation are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. It is very easy to copy things in cyberspace, but not necessarily always acceptable or legal. Unless otherwise noted, you may view, copy, download, and print documents from the MapMe so long as you use them only for personal, non-commercial purposes and do not post, distribute, or modify them or remove any copyright, trademark, or other proprietary notices. For permission to use third-party materials appearing on or linked from the MapMe, please contact the copyright owner.

If you believe that your work has been copied and is accessible on the MapMe in a way that constitutes copyright infringement, please contact us.

MapMe reserves the right to cancel your MapMe listing for any reason, with or without notice.

You agree that MapMe may, under certain circumstances and without prior notice, immediately terminate your MapMe account, any associated email address, and access to the Service. Cause for such termination shall include, but not be limited to,

21.1. breaches or violations or purported breaches or violations of the TOS or other incorporated agreements or guidelines,

21.1. requests by law enforcement or other government agencies,

21.2. a request by you (self-initiated account deletions),

21.3. discontinuance or material modification to the Service (or any part thereof),

21.4. unexpected technical or security issues or problems,

21.5. extended periods of inactivity,

21.6. engagement by you in fraudulent or illegal activities, and/or

21.7. nonpayment of any fees owed by you in connection with the Services. Termination of your MapMe account includes

21.7.1. removal of access to all offerings within the Service,

21.7.2. deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and

21.7.3. barring of further use of the Service. Further, you agree that all terminations for cause shall be made in MapMe's sole discretion and that MapMe shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Service.

The only personally identifiable information about you ("PII") (that is, your first and last name, or e-mail address) that the MapMe receives is any PII you choose to include in the registration form if you become a member of MapMe. We use such PII only in connection with the provision of the MapMe, and do not use it for marketing purposes. We do not share your PII with any outside companies. As explained below, administrators for the MapMe may have access to certain PII.

When you use or access the MapMe, we automatically receive and store certain information from your browser, including your IP address; your browser type; access date and time; the referring Web site address; the MapMe page you requested; and in the case of a search, the specific search terms requested. We use this information for purposes of security, to learn more about how the MapMe is used, and to improve the quality and usefulness of the MapMe. We do NOT link any of this information with PII, and we do not share this information with any outside companies.

The MapMe's administrators may receive PII about you in certain circumstances, and, your use of that information is not subject to this Privacy Policy. Administrators may receive PII about you if you correspond directly with an administrator (e.g., to ask a question about why a site is not included), the administrator will of course learn your e-mail address, as well as any other PII you choose to share in the e-mail; and

You agree that these Terms and our Privacy Policy and Acceptable Use Policy shall for all purposes be governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be performed in California, and that any legal action or proceeding arising out of them shall be litigated and enforced under the laws of the State of California. In addition, you agree to submit to the jurisdiction of the courts of the northern district of the State of California. MapMe's failure to enforce any provision under these Terms, Privacy Policy or Acceptable Use Policy shall not constitute a waiver of any provision or right.

MapMe reserves the right to change these Terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we make, as they are legally binding on you. Some of the provisions contained in Terms of Service may also be superseded by provisions or notices published elsewhere on our site. Any changes made to these Terms will automatically be effective 30 days after they are posted on this page. If you continue to access MapMe after a notice of a change has been published, that means you are agreeing to the new Terms. If you do not agree to a change, you must terminate your membership with MapMe and contact us.

The MapMe is not responsible or liable in any manner for any User Content or Third Party Applications, Software or Content posted on the Site or in connection with the Service, whether posted or caused by users of the Site, by MapMe, by third parties or by any of the equipment or programming associated with or utilized in the Site or the Service. Although we provide rules for user conduct and postings, we do not control and are not responsible for what users post, transmit or share on the Site and are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content you may encounter on the Site or in connection with any User Content or Third Party Applications, Software or Content. The MapMe is not responsible for the conduct, whether online or offline, of any user of the Site or Service.

The Site and the Service may be temporarily unavailable from time to time for maintenance or other reasons. MapMe assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, User communications. MapMe is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Site or combination thereof, including injury or damage to User's or to any other person's computer, mobile phone, or other hardware or software, related to or resulting from using or downloading materials in connection with the Web and/or in connection with the Service, including any Mobile Client software. Under no circumstances will the MapMe be responsible for any loss or damage, including any loss or damage to any User Content or personal injury or death, resulting from anyone's use of the Site or the Service, any User Content or Third Party Applications, Software or Content posted on or through the Site or the Service or transmitted to Users, or any interactions between users of the Site, whether online or offline.

THE SITE, THE SERVICE (INCLUDING THE SHARE SERVICE), ANY PLATFORM APPLICATIONS AND THE SITE CONTENT ARE PROVIDED "AS-IS" AND THE MAPME DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. THE MAPME CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SITE AND/OR THE SERVICE AND/OR ANY PLATFORM APPLICATIONS. MAPME DOES NOT REPRESENT OR WARRANT THAT SOFTWARE, CONTENT OR MATERIALS ON THE SITE, THE SERVICE OR ANY PLATFORM APPLICATIONS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT OR ERROR-FREE OR THAT THE SITE OR SERVICE ITS SERVERS, OR ANY PLATFORM APPLICATIONS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THEREFORE, YOU SHOULD EXERCISE CAUTION IN THE USE AND DOWNLOADING OF ANY SUCH SOFTWARE, CONTENT OR MATERIALS AND USE INDUSTRY-RECOGNIZED SOFTWARE TO DETECT AND DISINFECT VIRUSES. WITHOUT LIMITING THE FOREGOING, YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD OR OTHERWISE OBTAIN CONTENT, MATERIAL, DATA OR SOFTWARE (INCLUDING ANY MOBILE CLIENT) FROM OR THROUGH THE SERVICE AND ANY PLATFORM APPLICATIONS AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR YOUR USE THEREOF AND ANY DAMAGES TO YOUR MOBILE DEVICE OR COMPUTER SYSTEM, LOSS OF DATA OR OTHER HARM OF ANY KIND THAT MAY RESULT.

MapMe reserves the right to change any and all content, software and other items used or contained in the Site and any Services and Platform Applications offered through the Site at any time without notice. Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by MapMe.

YOU AGREE THAT YOUR USE OF THE MAPME WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, MAPME, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. MAPME MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR WEBSITE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR WEBSITE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR WEBSITE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE MAPME WEBSITE. MAPME DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE MAPME WEBSITE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND MAPME WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
